This document constitutes a legally binding agreement between You and WLLNSS sp. z o.o. It serves simultaneously as the Terms & Conditions and the End User Licence Agreement (EULA) required under Apple App Store Review Guidelines §3.1.1.
By downloading, installing or using the WLLNSS application You confirm that:
(a) You are at least 18 years of age;
(b) You have read, understood, and agreed to be bound by all provisions of this document.
If you do not agree to these Terms, you must stop using the Service and uninstall the Application.
Part A — Interpretation and Definitions
A.1 Interpretation
Words with initial capital letters have the meanings defined below. Definitions apply equally in singular and plural.
A.2 Definitions
Application — the WLLNSS mobile and web software platform, including all updates and related features.
Application Store — the Apple App Store (Apple Inc.) or Google Play Store (Google Inc.) through which the Application may be downloaded.
Affiliate — any entity that controls, is controlled by, or is under common control with a party, where 'control' means ownership of 50% or more of voting securities.
Company / WLLNSS / We / Us / Our — WLLNSS sp. z o.o., a company incorporated in Poland, with registered address at Aleja Solidarności 117/615, 00-140 Warsaw.
Country — Republic of Poland.
Device — any electronic device capable of accessing the Service, including a smartphone, tablet or computer.
Healthcare Professional — an independent, licensed medical doctor, therapist, psychologist or other healthcare provider offering consultations through the Platform.
Service / Platform — the Application and all associated features, content and tools provided by WLLNSS.
Terms / EULA — this document, as updated from time to time.
You / User — the individual accessing or using the Service.
Part B — Acknowledgement and EULA Status
B.1 Agreement
These Terms govern Your access to and use of the Service and constitute the entire agreement between You and WLLNSS regarding the Service. By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part, You must not access the Service.
B.2 Apple App Store — EULA
This document constitutes the End User Licence Agreement required pursuant to Apple App Store Review Guidelines (Section 3.1.1). The Apple standard EULA is expressly NOT adopted; this document governs instead.
Apple Inc. is not a party to this EULA, has no obligation or liability whatsoever to You under this EULA, and is not responsible for the Application or its content. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA and, upon Your acceptance, will have the right (and will be deemed to have accepted the right) to enforce this EULA against You as a third-party beneficiary.
B.3 Age Restriction
The Service is available exclusively to persons aged 18 or older. By using the Service You confirm that You are at least 18 years of age. WLLNSS implements age-verification controls at registration. Accounts found to belong to users under 18 will be suspended and associated personal data deleted without undue delay.
Part C — Licence Grant
C.1 Grant
Subject to Your compliance with these Terms, WLLNSS grants You a limited, personal, non-exclusive, non-transferable, revocable licence to:
- download and install the Application on Devices that You own or control; and
- access and use the Service for Your personal, non-commercial wellbeing purposes.
C.2 Restrictions
You must not:
- sublicense, sell, transfer, assign, distribute or commercially exploit the Application;
- reverse-engineer, decompile, disassemble or attempt to derive the source code of the Application;
- modify, adapt or create derivative works based on the Application;
- remove, obscure or alter any proprietary notices in the Application;
- use the Application in any manner that violates applicable law.
All rights not expressly granted to You are reserved by WLLNSS.
Part D — Nature of the Service
D.1 Wellbeing Technology Platform
WLLNSS is a technology and wellbeing platform. The Service may include: wellbeing and lifestyle programmes; AI-based wellbeing features; educational content; access to independent Healthcare Professionals; customer support via live chat; and optional paid services or subscriptions.
D.2 Not a Medical Service
Medical and therapeutic consultations available through the Platform are provided exclusively by independent, licensed Healthcare Professionals and not by WLLNSS.
D.3 Availability
Availability of specific features may vary by region. WLLNSS reserves the right to modify, suspend or discontinue any feature at any time with reasonable prior notice to affected Users.
Part E — AI-Based Features
E.1 Purpose
The Application includes artificial intelligence features designed for general wellbeing and informational purposes only. These features are not a substitute for professional medical advice, diagnosis or treatment. Certain AI functionalities may be provided in cooperation with third-party technology providers. Further details regarding such providers and data processing are available in the Privacy Policy.
E.2 Limitations
E.3 EU AI Act
The AI features provided within the Service are not classified as high-risk AI systems under Regulation (EU) 2024/1689 (EU Artificial Intelligence Act), as they do not autonomously make decisions with significant legal or equivalent effects on individuals. All AI outputs are labelled as informational content within the Application.
E.4 AI Sub-processors
Certain AI-powered features within the Application are provided in whole or in part through third-party AI service providers, including Google LLC (Vertex AI / Gemini models) for the purpose of generating personalised wellness recommendations and content. These providers act as data processors under GDPR and are subject to Data Processing Agreements and, where applicable, Standard Contractual Clauses. Personal data, including health-related wellbeing data, is pseudonymised before transmission to AI sub-processors where technically feasible. A current list of AI sub-processors and the associated safeguards is maintained in the Privacy Policy available at wllnss.health/privacy.
Part F — Payments
F.1 Paid Features and One-Time Purchases
Certain optional services or paid features within the Service (including, where available, consultations or other premium offerings) may be offered for separate payment. All applicable prices, fees and purchase terms will be clearly presented to You before You confirm any purchase.
Unless expressly stated otherwise at the point of purchase, paid features are one-time purchases and do not automatically renew.
F.2 Payments Processed via Apple App Store
Where a purchase is made through the Apple App Store on an iOS device, the transaction is processed by Apple Inc. in accordance with Apple’s applicable payment terms and policies. WLLNSS does not receive or store Your full payment card details for such transactions. Payments for consultations with independent healthcare professionals may be processed through Stripe or another authorized payment provider. Such consultations constitute professional services provided by independent practitioners and not digital content sold by WLLNSS.
For billing issues, payment disputes or refund requests relating to Apple App Store purchases, please contact Apple Support: https://support.apple.com.
F.3 Direct (Web) Purchases
Where permitted by applicable platform rules and where made available by WLLNSS, certain optional services may also be purchased directly through the WLLNSS website or web platform. Such transactions are processed via Stripe or another designated payment provider, and WLLNSS sp. z o.o. is the merchant of record for those purchases.
Refunds for direct purchases are governed by applicable law and any specific service terms presented at the time of purchase.
F.4 Employer-Sponsored Access (B2B2C)
Users may access certain features through a corporate agreement between their employer and WLLNSS. Employer-sponsored access:
(a) may be limited to features included in the applicable corporate plan;
(b) may terminate upon the end of employment or expiry/termination of the employer agreement; and
(c) does not include optional paid services purchased independently by You, unless expressly stated otherwise.
Your employer is not responsible for purchases made independently by You.
F.5 EU Right of Withdrawal (14-Day Cooling-Off)
If You are an EU/EEA consumer purchasing digital services directly from WLLNSS through the website or web platform, You may have a statutory right to withdraw from the contract within 14 days, subject to applicable consumer laws.
Where digital content or digital services begin immediately at Your request, You may be asked to provide prior express consent acknowledging that You may lose the right of withdrawal once performance has started, to the extent permitted by law.

Part G — Employer Access (B2B2C Model)
Where You access the Service through Your employer:
- Your employer receives only fully aggregated and anonymized reports — never individual user data.
- Your employer cannot access Your personal health data, wellbeing scores or consultation records.
- Your employer is contractually prohibited from attempting to re-identify individual users.
- Your personal health data remains confidential from Your employer at all times.
- Access may be terminated when Your employment ends or the employer contract expires.
Part H — Independent Healthcare Professionals
Healthcare consultations available through the Platform are delivered by independent, licensed Healthcare Professionals or licensed clinics. WLLNSS:
- does NOT supervise, direct or control the clinical decisions of Healthcare Professionals;
- is NOT responsible for clinical outcomes, diagnoses, treatment plans or prescriptions;
- does NOT guarantee the availability of any specific Healthcare Professional.
Consultation formats may include text chat, audio call, video call or asynchronous messaging. Each Healthcare Professional is individually responsible for their practice under their professional regulatory obligations. Your relationship with a Healthcare Professional is solely between You and that professional.
Part I — User Responsibilities and Prohibited Conduct
I.1 User Obligations
By using the Service You agree to:
- provide accurate, current and complete information during registration and use;
- keep Your account credentials confidential and notify WLLNSS of any unauthorized access;
- use the Service lawfully and in good faith;
- treat Healthcare Professionals and other users with respect.
I.2 Prohibited Conduct
You must not:
- use the Service in any emergency or life-threatening situation;
- harass, abuse, threaten or defame Healthcare Professionals or other users;
- misuse AI features to obtain harmful, prohibited or misleading content;
- reverse-engineer, decompile or attempt to circumvent technical protection measures;
- bypass, manipulate or exploit payment systems;
- upload, transmit or distribute malicious code, viruses or harmful data;
- use the Service to infringe third-party intellectual property or privacy rights;
- violate any applicable law, regulation or third-party rights.
Part J — Data Protection and Privacy
J.1 Applicable Law
Personal data and health data are processed in accordance with: Regulation (EU) 2016/679 (GDPR); Directive 2002/58/EC (ePrivacy Directive); and applicable Polish data protection legislation (Ustawa z dnia 10 maja 2018 r. o ochronie danych osobowych).
J.2 Data Protection Officer
We have appointed a Data Protection Officer to supervise compliance with data protection regulations. You may contact our DPO, Ivan Kuzmitski, at i.kuzmitski@wllnss.health
J.3 Health Data — Special Category
Health data constitute a special category of personal data under GDPR Article 9. WLLNSS processes Your health data solely on the basis of Your explicit, freely given, specific and informed consent. You may withdraw Your consent at any time through the in-app Privacy Settings or by contacting i.kuzmitski@wllnss.health. Withdrawal of consent does not affect the lawfulness of processing carried out before withdrawal.
Where Your health-related wellbeing data (including mood, self-reported symptoms, or wellbeing diary entries) is processed by AI-powered features for the purpose of generating personalised recommendations (see Part E), such processing is carried out only with Your separate, explicit consent specific to that purpose (Article 9(2)(a) GDPR), in addition to any general consent described above. You may withdraw this specific consent at any time through the in-app Privacy Settings without affecting the rest of the Service. Further details on this processing, including the identity of the AI sub-processor and applicable safeguards, are set out in the Privacy Policy.
J.4 Roles
WLLNSS acts as data controller in respect of Your personal data. Where WLLNSS processes data on behalf of Your employer, it acts as a data processor pursuant to a separate Data Processing Agreement.
J.5 Data Retention
Personal data are retained for as long as necessary for the purposes for which they were collected, or as required by applicable law. Health data are deleted upon account closure or withdrawal of consent, unless their retention is required by applicable law.
In particular, where medical documentation is created in accordance with Polish law (including the Act of 6 November 2008 on Patient Rights and the Patient Ombudsman), such data may be retained for statutory periods (generally up to 20 years or longer in specific cases).
J.6 Your Rights (GDPR)
Under the GDPR You have the right to: access Your personal data; rectification; erasure ('right to be forgotten'); restriction of processing; data portability; and to object to processing. To exercise any of these rights, contact: i.kuzmitski@wllnss.health.
You also have the right to lodge a complaint with the Polish supervisory authority: Urząd Ochrony Danych Osobowych (UODO), ul. Stawki 2, 00-193 Warsaw — www.uodo.gov.pl.
J.7 Privacy Policy
Full details of Our data practices, including third-party data sharing, international transfers and cookie use, are set out in Our Privacy Policy, which forms an integral part of these Terms. The latest version of the Privacy Policy, including its effective date, is available at: https://wllnss.health/privacy. The version applicable to You is the one in force at the time of Your use of the Service.
J.7 Cookies
The Service uses cookies and similar technologies. Detailed information regarding the use of cookies, including legal bases and user choices, is provided in the Privacy Policy.
Part K — Third-Party Services and Marketing
K.1 Third-Party Links and Services
The Service may contain links to, or integrate with, third-party websites, services or platforms (including video conferencing, payment processing, cloud hosting and analytics providers). WLLNSS has no control over, and assumes no responsibility for, the content, privacy policies or practices of any third-party services.
You acknowledge and agree that WLLNSS shall not be responsible or liable for any damage or loss caused by or in connection with Your use of or reliance on any third-party content or services. We strongly recommend that You read the terms and privacy policies of any third-party services You access.
Where third-party services are accessed via social media integrations, Your use of those services is also subject to the applicable third-party terms and privacy policies.
K.2 Marketing Communications
WLLNSS may send You marketing or promotional communications, including newsletters, only where permitted under applicable law. Where required by law (including the Polish Telecommunications Law), such communications will be sent only on the basis of Your prior consent. You may withdraw your consent and unsubscribe from marketing communications at any time by:
- clicking the unsubscribe link in any email; or
- contacting s.atanasov@wllnss.health.
Withdrawal of consent does not affect the lawfulness of prior processing.
Part L — Termination and Suspension
We may suspend or terminate Your access to the Service with immediate effect and without prior notice where:
- You materially or repeatedly breach these Terms;
- suspension is required for security, legal or regulatory compliance reasons;
- We are required to do so by a competent authority or court order.
Where suspension is not urgent, We will endeavor to provide reasonable prior notice. Upon termination, Your license to use the Application ceases immediately. You must uninstall the Application from Your Devices. Provisions that by their nature survive termination shall continue to apply, including Parts J, M, N and O.
Part M — Disclaimer
The Service is provided to You "AS IS" with all faults and defects and without warranty of any kind. To the maximum extent permitted under applicable law — and subject to mandatory consumer protection rights under Polish and EU law that cannot lawfully be excluded — WLLNSS, on its own behalf and on behalf of its Affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, including:
- implied warranties of merchantability, fitness for a particular purpose, title and non-infringement;
- warranties that the Service will meet Your requirements or achieve any intended results;
- warranties that the Service will operate without interruption, be error-free or free of harmful components.
WLLNSS makes no warranty as to the accuracy, reliability, completeness or timeliness of any content, AI outputs, or information provided through the Service.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer. In such jurisdictions, the above exclusions apply only to the greatest extent enforceable under applicable law. Mandatory statutory guarantees applicable to EU consumers are not excluded.
Part N — Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall WLLNSS, its Affiliates, directors, officers, employees, agents, licensors or service providers be liable for:
- any indirect, incidental, special, consequential or punitive damages;
- any loss of profits, revenue, data, goodwill or business opportunities;
- clinical decisions made by independent Healthcare Professionals;
- actions or omissions of employers or third-party service providers;
- Your interpretation of or reliance on any content or AI output from the Service.
WLLNSS's total aggregate liability to You in connection with the Service shall not exceed the greater of: (a) the total fees actually paid by You to WLLNSS in the twelve (12) months preceding the event giving rise to liability; or (b) EUR 100.
Nothing in these Terms limits or excludes liability for: death or personal injury caused by WLLNSS's negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited under Polish or EU law.
Some jurisdictions do not allow the limitation of liability for incidental or consequential damages. In such jurisdictions, WLLNSS's liability will be limited to the greatest extent permitted by law.
Part O — Dispute Resolution and Governing Law
O.1 Informal Resolution
If You have any concern or dispute about the Service, You agree to first attempt to resolve the matter informally by contacting WLLNSS at s.atanasov@wllnss.health. We will use reasonable efforts to resolve Your complaint within 14 business days.
O.2 Online Dispute Resolution (EU)
In accordance with EU Regulation No 524/2013 on Online Dispute Resolution, EU consumers may submit disputes for resolution through the European Commission's ODR Platform, accessible at: https://ec.europa.eu/consumers/odr. WLLNSS's email address for ODR purposes is: s.atanasov@wllnss.health.
O.3 UOKiK — Polish Consumer Protection
You may also seek assistance from the Polish consumer protection authority: Urząd Ochrony Konkurencji i Konsumentów (UOKiK), pl. Powstańców Warszawy 1, 00-950 Warsaw — www.uokik.gov.pl.
O.4 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law rules. Your use of the Application may also be subject to other local, national or international laws.
O.5 Jurisdiction
Subject to Your rights as an EU consumer under Regulation (EU) No 1215/2012 (Brussels I Recast) — including the right to bring proceedings in the courts of Your country of domicile — the courts of Warsaw, Poland shall have exclusive jurisdiction to resolve disputes arising from or in connection with these Terms.
O.6 EU Consumer Mandatory Protections
If You are a consumer resident in the European Union, You benefit from any mandatory provisions of the law of Your country of residence that cannot be derogated from by agreement. Nothing in these Terms affects those rights.
Part P — General Provisions
P.1 Changes to These Terms
We may amend these Terms from time to time for valid reasons, including legal, security, technical or business changes. Where changes materially affect users, we will provide at least 30 days' prior notice (via in-app notification or email). What constitutes a material change is determined at WLLNSS's reasonable discretion.
By continuing to access or use the Service after revised Terms become effective, You agree to be bound by the updated Terms. If You do not agree, You must stop using the Service and, where applicable, cancel Your subscription.
P.2 Force Majeure
WLLNSS shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, war, government actions, cyberattacks, telecommunications or power failures. WLLNSS will notify affected Users as soon as reasonably practicable and will use reasonable efforts to resume performance.
P.3 Sanctions and Export Control
By using the Service You confirm that You are not located in, or a national or resident of, any country or territory subject to comprehensive international sanctions, and that You are not listed on any applicable sanctions list (including, but not limited to, OFAC, EU and UN lists). You agree not to use the Service in violation of applicable export control laws or regulations.
P.4 Assignment
WLLNSS may assign or transfer these Terms, or any of its rights or obligations hereunder, without Your prior consent, in connection with a merger, acquisition, corporate restructuring or sale of all or substantially all of its assets, provided the assignee assumes all WLLNSS's obligations under these Terms. You may not assign Your rights under these Terms without WLLNSS's prior written consent.
P.5 Severability and Waiver
If any provision of these Terms is held invalid or unenforceable by a competent court, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Failure by either party to exercise a right or enforce a provision shall not constitute a waiver of future enforcement.
P.6 Language
These Terms are issued in English. If translated versions are made available, the English version shall prevail in the event of any discrepancy.
P.7 Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription-specific terms, constitute the entire agreement between You and WLLNSS with respect to the Service and supersede all prior agreements, representations and understandings.
